General Terms and Conditions

Article 1 – Definitions

1.1. Client: The natural or legal person who enters into an agreement with Magnifier Design Studio.
1.2. Services: All interior design, consultancy, styling, and related services provided by Magnifier Design Studio.
1.3. Agreement: Any contract between Magnifier Design Studio and the Client regarding the provision of Services.
1.4. Deliverables: All documents, designs, plans, drawings, and any other materials provided by Magnifier Design Studio as part of the Services.

Article 2 – Applicability

2.1. These terms and conditions apply to all offers, agreements, and Services provided by Magnifier Design Studio.
2.2. Deviations from these terms are only valid if explicitly agreed upon in writing by both parties.

Article 3 – Offers and Quotations

3.1. All offers and quotations by Magnifier Design Studio are non-binding and valid for 30 days, unless stated otherwise.
3.2. Prices in offers and quotations are exclusive of VAT and other governmental levies unless otherwise indicated.

Article 4 – Execution of the Agreement

4.1. Magnifier Design Studio will execute the Agreement to the best of its abilities, based on the information provided by the Client.
4.2. The Client is responsible for providing accurate and complete information necessary for the execution of the Agreement.
4.3. The Agreement may be amended upon mutual agreement, which may affect the price and delivery time.

Article 5 – Confidentiality

5.1. Both parties agree to maintain the confidentiality of all information received in the context of the Agreement.
5.2. Confidentiality obligations continue to apply after the termination of the Agreement.

Article 6 – Intellectual Property

6.1. All intellectual property rights relating to the Services, including but not limited to designs, drawings, and concepts, remain with Magnifier Design Studio.
6.2. The Client is granted a non-exclusive, non-transferable license to use the Deliverables for the purpose agreed upon in the Agreement.

Article 7 – Payment Terms

7.1. Invoices are to be paid within 14 days of the invoice date unless otherwise agreed in writing.
7.2. In case of late payment, the Client will be in default without further notice and liable for statutory interest and collection costs.

Article 8 – Liability

8.1. Magnifier Design Studio is only liable for direct damage caused by its intent or gross negligence.
8.2. Liability is limited to the amount paid under the applicable professional liability insurance or, if not covered, up to a maximum of the fees paid for the Services under the Agreement.
8.3. Magnifier Design Studio is not liable for indirect damages, including but not limited to loss of profit, business interruption, or third-party claims.

Article 9 – Force Majeure

9.1. Magnifier Design Studio is not liable for any failure to fulfill its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, internet disruptions, or government actions.
9.2. In the event of force majeure, either party may terminate the Agreement if the situation persists for more than two months.

Article 10 – Termination

10.1. Either party may terminate the Agreement in writing with a notice period of 30 days, unless otherwise agreed.
10.2. Upon termination, the Client will pay for Services rendered up to the date of termination.

Article 11 – Governing Law and Jurisdiction

11.1. These terms and conditions and all Agreements are governed by Dutch law.
11.2. Any disputes arising out of or in connection with these terms shall be submitted to the competent court in the Netherlands.
